Paralegal - Corporate and Commercial

In this key role within their corporate and commercial team, you will work closely with experienced solicitors, contributing to a diverse caseload for an impressive portfolio of business clients.
Key Responsibilities in Corporate and Commercial Law Support
- Assisting solicitors with a wide variety of corporate and commercial matters, including formations, mergers and acquisitions, restructurings, share sales, partnership agreements, and commercial contracts.
- Drafting, reviewing, and amending key legal documents such as board minutes, resolutions, shareholder agreements, NDAs, commercial contracts, and Companies House filings to a high standard of accuracy.
- Conducting thorough due diligence exercises, data room management, and preparing transaction bibles for corporate deals and contract negotiations.
- Managing matter files and ensuring all documents, correspondence, and legal records are organised and efficiently maintained using the firm’s case management systems.
- Communicating clearly and professionally with business clients, external counsel, regulatory bodies, and other stakeholders throughout all stages of a matter.
- Undertaking legal research and supporting the team in the preparation of client briefings, regulatory updates, and internal knowledge management resources.
- Fully adhering to SRA, GDPR, and AML compliance procedures and maintaining standards of confidentiality and data protection at all times.
Essential Skills & Experience for Corporate and Commercial Paralegals
- At least 12 months’ experience supporting lawyers in corporate or commercial legal matters within a law firm or relevant in-house setting.
- Sound understanding of company law, commercial contracts, and transactional processes as well as key regulatory considerations.
- Excellent drafting, administrative, and organisational skills coupled with proven attention to detail and the ability to manage competing priorities in a fast-paced environment.
- Strong written and verbal communication skills with the ability to build effective relationships with colleagues, clients, and other third parties.
- Proficiency with legal case management systems and the full Microsoft Office suite.
